Please read these Terms of Service ("Terms") carefully before using the Bana Mboka application and services (the "Service") operated by JF Group LLC ("Company", "We", "Us", or "Our").

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you disagree with any part of the terms, you may not access the Service.

1. THE MARKETPLACE PLATFORM

Bana Mboka is a digital marketplace platform that connects independent merchants ("Sellers"), independent delivery providers ("Drivers"), and customers ("Customers").

IMPORTANT DISCLAIMER:

• The Company does not sell food or goods and does not provide delivery services.
• We are not a party to the transactions between Customers and Sellers or Customers and Drivers.
• We do not manufacture, store, or inspect the items sold through the Service. The Sellers are solely responsible for the preparation, quality, and safety of their items.

2. USER ACCOUNTS

To use most features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information.
• Maintain the security of your password and accept all risks of unauthorized access to your account.
• Promptly notify us if you discover or suspect any security breaches related to the Service.
• Not impersonate any person or entity or misrepresent your affiliation with a person or entity.

3. ROLES AND RESPONSIBILITIES

• Customers: Responsible for providing accurate delivery addresses and being available to receive orders.
• Sellers: Responsible for fulfilling orders as described, maintaining health and safety standards, and keeping their menu/inventory up to date.
• Drivers: Responsible for the safe and timely delivery of orders and maintaining valid licenses and insurance as required by law.

4. PAYMENTS AND BILLING

• Payment Processing: We use third-party payment processors (Stripe and Braintree/PayPal) to handle transactions. By using the Service, you agree to be bound by their respective terms and privacy policies.
• Stripe Connect: Sellers and Drivers using Stripe Connect must comply with the Stripe Connected Account Agreement.
• Fees: All prices are set by the Sellers. Service fees, delivery fees, and taxes are calculated and displayed at checkout.
• Refunds: Refund requests must be directed to the Seller. The Company may assist in dispute resolution but is not obligated to provide refunds for items prepared by Sellers or delivered by Drivers.

5. CONTENT AND CONDUCT

You are solely responsible for the content (text, images, reviews) you post on the Service. You agree not to post content that:

• Is unlawful, offensive, or defamatory.
• Infringes on the intellectual property rights of others.
• Contains viruses or malicious code.
• Violates the privacy of others.

The Company reserves the right to remove any content or terminate accounts that violate these standards.

6. INTELLECTUAL PROPERTY

The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of JF Group LLC and its licensors.

7. TERMINATION

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including without limitation if you breach the Terms.

8. LIMITATION OF LIABILITY

To the maximum extent permitted by law, JF Group LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Service.
• Any conduct or content of any third party on the Service (including Sellers and Drivers).
• Any content obtained from the Service.

9. DISCLAIMER OF WARRANTIES

Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied.

10. GOVERNING LAW

These Terms shall be governed and construed in accordance with the laws of Indiana, United States, without regard to its conflict of law provisions.

11. CHANGES TO TERMS

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.
